Terms of Service

Introduction
These Terms of Service (“Terms”) govern your access to and use of NutraForge Technologies Inc.’s products and services, including:
• The NutraForge mobile application (“Consumer App”), and
• The NutraForge PRO web application for practitioners and organizations (“Practitioner App”).
“NutraForge,” “we,” “us,” and “our” refer to NutraForge Technologies Inc. By using the Services, you agree to these Terms and our Privacy Policy and Data Deletion Policy.
Eligibility
You must be at least 16 years old to use the Services. If you use the Practitioner App, you represent that you have the authority to bind your organization to these Terms.
Accounts and Registration
You must provide accurate information and maintain the security of your account credentials. You are responsible for all activity under your account. If you believe your account has been compromised, notify support@nutraforge.ca immediately.
Services Overview
Consumer App: Provides personalized nutrition features for individual users.
Practitioner App (NutraForge PRO): Allows practitioners and organizations to invite clients, access and edit client data (with client consent), manage organizational settings, and optionally take over client billing through Stripe.
Health and Safety Disclaimer (No Medical Advice)
NutraForge provides general wellness information. The Services do not provide medical or clinical advice and are not a substitute for professional diagnosis or treatment. Do not use the Services for emergencies. Always consult a qualified healthcare provider for medical concerns.
Practitioner Responsibilities (NutraForge PRO)
Practitioners are solely responsible for:
• Obtaining any required consents from clients before accessing or editing client data.
• Ensuring the accuracy and lawfulness of data entered into the system.
• Complying with applicable professional, privacy, and record-keeping obligations in their jurisdiction.
• Managing organizational ownership, roles, and permissions.
Client–Practitioner Relationship and Consent
When a client joins an organization in NutraForge PRO, the client consents to the practitioner’s access to relevant data. If a client revokes access or requests deletion, practitioner access will be removed in accordance with our Privacy Policy and Data Deletion Policy.
Subscriptions, Billing, and Trials
NutraForge PRO (Stripe): Practitioner subscriptions and certain web subscriptions are billed via Stripe. Pricing, billing cycles, and taxes are shown at checkout. Free trials, if offered, convert to paid plans unless canceled before the trial ends.
Mobile App Subscriptions (Apple App Store / Google Play): Mobile subscriptions are managed by Apple or Google. Store-specific terms and billing rules apply.
Price Changes: We may change fees with prior notice where required. Changes typically apply to subsequent billing cycles.
Cancellations and Refunds
User-Initiated Cancellation: You may cancel at any time. Access continues until the end of the current billing period unless otherwise stated.
Refunds:
• Stripe (NutraForge PRO and web): Refunds, if any, are handled case-by-case for billing errors or service faults.
• Apple App Store / Google Play: Refunds are governed by Apple/Google policies and must be requested through the respective store.
Trials: If you cancel during a trial, you will not be charged after the trial ends.
Subscription Handling at Account Deletion (Flexible Approach)
We make every reasonable effort to ensure that deleting an account also cancels associated subscriptions; however, automatic cancellation cannot always be guaranteed due to third-party systems.
• Stripe: We attempt to cancel active Stripe subscriptions when deletion is processed and will notify you if manual action is needed.
• Apple/Google: Deleting your NutraForge account does not always cancel store-managed subscriptions. Users must confirm or cancel through their Apple ID or Google Play settings.
• Refunds: Account deletion does not automatically trigger refunds. Standard Apple, Google, or Stripe refund policies apply.
User Content and License
You retain ownership of content you submit. You grant NutraForge a worldwide, non-exclusive, royalty-free license to host, process, display, and create de-identified analytics from your content solely to operate and improve the Services, and as otherwise permitted by the Privacy Policy.
Acceptable Use
You agree not to:
• Use the Services for unlawful, harmful, or deceptive purposes.
• Attempt to access another user’s data without authorization.
• Reverse engineer, scrape, or circumvent security or access controls.
• Upload malicious code or interfere with the operation of the Services.
We may suspend or terminate accounts that violate these Terms.
Third-Party Services
We use trusted third parties to operate the Services, including:
• Payments: Stripe; Apple App Store; Google Play
• Storage/Infrastructure: Google Cloud
• Analytics: PostHog (pseudonymized/aggregated analytics)
• Authentication: Auth0
Your use of third-party billing platforms (Apple/Google/Stripe) is subject to their terms.
Privacy, Security, and Data Deletion
Your use of the Services is also governed by the Privacy Policy and Data Deletion Policy, which explain what data we collect, how we use it, security measures, and how you can request deletion. By using the Services, you consent to these practices.
Service Availability and Modifications
We may modify, suspend, or discontinue features without liability, with notice where required. We will make reasonable efforts to minimize disruptions.
Intellectual Property
The Services, including software, design, and content (excluding your content), are owned by NutraForge or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
Beta Features
We may offer early-access or beta features. You understand such features may be incomplete or change at any time and are provided “as is.”
Feedback
If you provide feedback or suggestions, you grant NutraForge a perpetual, worldwide, royalty-free license to use them without obligation to you.
Suspension and Termination
We may suspend or terminate your access for violation of these Terms, legal requirements, or security risks. You may terminate by canceling subscriptions and discontinuing use. Upon termination, your right to access the Services ceases, and our Data Deletion Policy will apply to any request you submit.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRAFORGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRAFORGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF NONE, CAD $100).
Indemnification
You agree to indemnify and hold NutraForge, its affiliates, and personnel harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable therein, without regard to conflicts of law. The parties submit to the exclusive jurisdiction of the courts located in St. John’s, Newfoundland and Labrador, Canada.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Your continued use of the Services after the effective date of updated Terms constitutes acceptance.
